Non-Disclosure Agreement for Employee, seconded employee and Or contractor
1. Parties:
1.1 Contractee - Moon’s ABC, CITC & LC (in this agreement will be referred as Employer or The Company) And

1.2 Contractor - the applicant or employee.
(in this agreement will be referred as the employee, you, seconded employee or contractor)

2. Due Diligence:
The seconded employee must provide a copy of national identity or passport, this should match the name of the bank details provided to the company for processing wage (personal / company). It is the duty of The Company to check ID of the contractor (fit and proper person) and right to work. The employee should provide with evidence of right to work in the UK or country of residence for online employment and pdf copies of academic certificates and an up to date CV reflective his or her genuine expertise.

3. Post-termination Restrictions:
The contractor must not approach our clients directly or indirectly for employment or contract or trade any system developed by the company or codes that done by the employee during this employment. If the client approach, contractor must refuse them politely and inform the company. Codes and copyrights will remain the sole property of Moons ABC & CITC. The contractor must avoid taking same client (contact of Moons ABC or CITC) for at least two years. Moons ABC, CITC and LC reserve the right to claim any damages for any breach this agreement.

4. Non-Disclosure Agreement:
At Moons ABC, CITC & LC we work hard to develop and protect our business reputation, client base and integrity within the industry. It is therefore essential that we develop a strong network of dedicated and professional, linguists, developers, testers and consultants with a passion for high standards. We understand the importance and the detrimental impact that professionals may have on our business in the event they do not act in accordance with our procedures. For this reason, we consider it just and reasonable that our working relationship and business terms remains confidential and must not be disclosed to competitors or anyone outside of the company. Our working relationship with you, client base, agreed fees, volume of work or any factor concerning our business, which is not already in the public domain, is highly sensitive and confidential business information which should not be disclosed to any third party. Seconded employee must not ask or discuss about their contract with company or payment with other colleagues.

4.1. Moons ABC, CITC & LC intends to disclose information (the Confidential Information) to the Recipient (seconded employee) for the purpose of attending clients, conference calls, providing service, completing company tasks, building web or mobile application and IT consultancy (the Purpose).

4.2. The Recipient (seconded employee) undertakes not to use the Confidential Information for any purpose except the Purpose, without first obtaining the written agreement of Md Islam (Moons ABC & CITC).

4.3. The Recipient seconded employee undertakes to keep the Confidential Information secure and not to disclose it to any third party. Similarly, our working relationship between Employee and Moons ABC, CITC & LC is not to be disclosed to any other third party. Details of our Work Providers should also not be disclosed to any other third party. This is sensitive and highly confidential information. Examples include:

- "round robin" emails displaying all your work suppliers email addresses. By doing so, you are disclosing which companies you are working for and would be in breach of our agreement.

- Verbal discussions/idle chat about the content or nature of our work

- Forum discussions (including invitation only social media groups)

4.4. The undertakings in clauses 4.2 and 4.3 above apply to all of the information disclosed by Moons ABC, CITC & LC or TI to the Recipient Employee, regardless of the way or form in which it is disclosed or recorded but they do not apply to:

a) any information which is or in future comes into the public domain (unless as a result of the breach of this Agreement); or

b) any information which is already known to the Recipient and which was not subject to any obligation of confidence before it was disclosed to the Recipient by Moons ABC, CITC & LC.

4.5. The Recipient will return all copies and records of the Confidential Information to Moons ABC, CITC & LC and will not retain any copies or records of the Confidential Information.

4.6. The Recipient undertakes to:
(a) when requested to do so by the Company and in any event on the termination of the Engagement, promptly to deliver to the Company all correspondence, documents, papers and records on all media (and all copies or abstracts of them), recording or relating to any part of the Works and the process of their creation which are in his possession, custody or power;

(b) not to register nor attempt to register any of the Intellectual Property Rights in the Works, nor any of the Inventions, unless requested to do so by the Company; and

(c) to do all acts necessary to confirm that absolute title in all Intellectual Property Rights in the Works and the Inventions has passed, or will pass, to the Company.

4.7. The Recipient warrants to the Company that:
(d) Seconded Employee or contractor has not given and will not give permission to any third party to use any of the Works or the Inventions, nor any of the Intellectual Property Rights in the Works;

(e) Seconded Employee or contractor is unaware of any use by any third party of any of the Works or Intellectual Property Rights in the Works; and

(f) The use of the Works or the Intellectual Property Rights in the Works by the Company will not infringe the rights of any third party.

4.8. All documents, ID Card, official email address, manuals, hardware and software provided for the Recipient’s use by The Company, and any data or documents (including copies) produced, maintained or stored on the Company's computer systems or other electronic equipment (including mobile phones provided by the Company), remain the property of the Company. The items must be respected and must not be abused.

4.9. The undertakings in clauses 4.2 and 4.3 will continue in force indefinitely

5. Company online and offline meetings are often video and or audio recoded for work and minutes purpose, seconded employee must agree to such recoding in order to work with the company.

6. Data collection, GDPR and privacy policy:
The company will keep seconded employee personal details for work, legal and payment processing purpose and only as long as necessary. Otherwise, the company will act according the subsequent request from the employee.

7. Confirmation:
7.1. I have read and understand the above. I have / will be providing my ID and accurate CV to the company.

7.2. By submitting this form / opening an account I (The Applicant, Employee, Seconded Employee, Contractor) agreeing with this privacy, confidentiality and NDA agreement.
